Permission to Use Picture & Story:  License and Release Agreement

 

1.For good and valuable consideration, receipt of which is hereby acknowledged, I, ________________________________________(“Licensor”), hereby grant a license to The Newman Group, Ltd. (“The Newman Group”) to utilize my original text material and accompanying photograph (the “Picture and Story”) for the Wishing Project in any and all media now known or hereafter devised, including print publication and online digital publication. 

2.This license includes the right to edit and adapt the Picture & Story as The Newman Group may deem necessary.

3.The Newman Group represents that the Wishing Project is a non-income producing project and that no other contributor to the Wishing Project shall be entitled to greater rights other than as represented herein.

4.I warrant and represent that I have the right to grant the rights granted in this License Agreement, and that no material, idea or other properties furnished by me will violate or infringe upon any common law or statutory right of any person, firm or corporation, including, without limitation, contractual rights, copyrights, trademarks, and rights of privacy or publicity.

5.I agree to one of the following two options as indicated by my inserted initials:

(a)I grant permission for the use of my name with the Picture & Story _________________ (initials);

       OR

(b)I do NOT grant permission for the use of my name with the Picture & Story ________________ (initials).

6.   Release:

 

I fully and voluntarily release The Newman Group from any known or unknown liabilities, claims and/or obligations arising from its use, publication, distribution, promotion or advertising of the Picture & Story.  I shall have no claim arising out of the so-called right of privacy and/or right of publicity, under any statutes or common law principles.

7. 7. I acknowledge that I have had the benefit of my own legal counsel for advice in the review of this                   License Agreement prior to execution hereof, or, I have willingly and knowingly waived my right to seek such advice.
   

8. 8.In full understanding of the above, I have signed this License and Release Agreement.
